1. Acceptance of Terms

By accessing or using hvacengineeringcalc.com (the "Site") or any calculator, report, or tool made available through it (collectively, the "Service"), you ("User") agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Woodrow Engineering AI LLC, a limited liability company ("Company," "we," "us," or "our").

2. Description of Service

HVAC Engineering Calc provides web-based heating and cooling load calculation tools for use by mechanical engineers, HVAC designers, energy modelers, and related AEC industry professionals. Calculation methods available on the Site may include, but are not limited to:

• ASHRAE Cooling Load Temperature Difference / Cooling Load Factor method (CLTD/CLF)
• ASHRAE Radiant Time Series method (RTS), per ASHRAE Handbook of Fundamentals 2021, Chapter 18
• ASHRAE Heat Balance Method (HBM)
• Residential load estimation methods

The Service is intended solely as a design assistance tool to support, not replace, the professional judgment of a licensed engineer.

3. Professional Responsibility Disclaimer

All calculation outputs produced by this Service are preliminary design estimates only. Results are based entirely on the inputs provided by the User. The Company makes no representation that any calculation output is accurate, complete, code-compliant, or suitable for any specific engineering application.

Users acknowledge and agree that:

• The engineer of record bears sole professional responsibility for verifying all inputs, reviewing all outputs, and applying independent engineering judgment before using any results in construction documents, permit applications, equipment specifications, or any other professional deliverable.
• Calculation results produced by this Site do not constitute a professional engineering opinion, certification, or stamped document.
• Compliance with applicable building codes, energy codes (including ASHRAE 90.1, IECC, and local amendments), and ACCA standards is the sole responsibility of the engineer of record and the User.
• The Company does not represent that use of this Service satisfies any regulatory, permitting, or code compliance requirement in any jurisdiction.

4. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WOODROW ENGINEERING AI LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO:

• Use of or reliance on any calculation result, report, or output from the Service;
• Errors, inaccuracies, or omissions in calculation results;
• Engineering decisions, equipment selections, or system designs made using the Service;
• Personal injury, property damage, or economic loss resulting from use of the Service;
• Interruption or unavailability of the Service;
• Unauthorized access to or alteration of User inputs or outputs.

IN NO EVENT SHALL THE COMPANY'S TOTAL CUMULATIVE LIABILITY TO ANY USER EXCEED THE GREATER OF (A) THE AMOUNT PAID BY THAT USER TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS (USD $100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, liability is limited to the fullest extent permitted by law.

5. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION:

• WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
• WARRANTIES THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR PRODUCE ACCURATE RESULTS;
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS;
• WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF ANY CALCULATION METHOD OR OUTPUT.

6. Indemnification

You agree to indemnify, defend, and hold harmless Woodrow Engineering AI LLC and its members, managers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service or any output therefrom;
• Your violation of these Terms;
• Any engineering work product, design, or decision made using outputs from the Service;
• Any claim by a third party arising from your use of calculation results.

7. Permitted Use / Restrictions

You may use the Service for lawful professional purposes only. You agree not to:

• Use the Service to produce outputs for projects where you are not qualified or licensed to practice engineering;
• Represent Service outputs as stamped, certified, or professionally sealed calculations;
• Reverse engineer, scrape, copy, or redistribute the calculation engine, algorithms, or data underlying the Service;
• Use automated tools, bots, or scripts to access the Service without prior written consent;
• Use the Service in any manner that violates applicable law or professional licensing regulations.

8. Intellectual Property

All content, software, algorithms, user interface designs, and materials on the Site are the property of Woodrow Engineering AI LLC or its licensors and are protected by applicable copyright, trademark, and intellectual property laws. Nothing in these Terms grants you any right to use the Company's name, logo, or trademarks.

Calculation methods implemented on the Site are based on published ASHRAE and ACCA standards. ASHRAE and ACCA are independent organizations; Woodrow Engineering AI LLC is not affiliated with, endorsed by, or a certified provider of ASHRAE or ACCA products.

9. Privacy

Use of the Service is also governed by our Privacy Policy, which is incorporated herein by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

10. Third-Party Tools and Services

The Site may use third-party services including analytics tools (e.g., Google Analytics). Such third parties have their own terms and privacy policies, which are independent of these Terms. The Company is not responsible for the practices of any third-party service providers.

11. Modifications to the Service and Terms

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Woodrow Engineering AI LLC with respect to the Service and supersede all prior agreements, understandings, and representations.
